Terms of Service

1. Overview
These Terms of Service ("Terms") govern your use of PayRunner (the "Service"), operated by Makemind Ecosystem, Inc ("Company", "we", "us"). By accessing or using the Service you agree to these Terms.
2. Your account
You sign in with a Makemind Ecosystem account. You are responsible for keeping access to that account secure and for activity that happens under it. Provide accurate registration information and keep it current.
3. What the Service does
PayRunner provides seller screens, a checkout page, an SDK and an API that let you take payments through a payment provider you connect, and it presents the resulting transactions as a settlement ledger with tax-relevant lines. The payment itself is performed by your provider; card details are handled on the provider’s hosted checkout and never pass through PayRunner.
4. You are the seller
A sale you make through the Service is a contract between you and your customer. We are not the seller and not a party to that contract. You set prices, policies and refunds, and you carry the obligations to your customer, including tax, receipts where the provider does not issue them, and dispute handling.
5. Your provider account and keys
Payments are collected into your own provider account using credentials you submit. Those credentials are stored in the platform’s secret store and are not returned to any screen, including yours. You are responsible for the account’s standing with the provider. Revoking or rotating the credentials stops payments until you submit new ones.
6. Fees
Two charges are ours: a plan fee for using PayRunner, and usage charged against a prepaid balance. We do not take a percentage of your sales. Where a prepaid balance is insufficient, the usage that would have been charged is refused rather than run on credit. Current prices are the ones shown in the portal and at checkout; they are not restated here.
7. Test mode
A tenant or a provider connection may be in test mode. Payments made in test mode are not real payments, move no money, and may be removed at any time.
8. Acceptable use
Do not use the Service for unlawful sales, to misrepresent who is selling, to circumvent a provider’s rules, or to interfere with the Service or other users. We may suspend a seller account where a provider, a payment network or the law requires it, or where a plan payment is reversed or disputed.
9. Availability and changes
We may change or discontinue parts of the Service. Material changes to these Terms are communicated at least 30 days before they take effect, and continued use after that date is acceptance of the revised Terms.
10. Intellectual property
You keep ownership of your content, your items and your customer data. You grant us a limited licence to host and process them solely to provide the Service. We keep all rights in PayRunner itself.
11. Disclaimer and limitation of liability
The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law we are not liable for indirect, incidental, special, consequential or punitive damages, and our total liability for claims arising from these Terms does not exceed the amount you paid us in the twelve months before the claim.
12. Governing law and contact
